APPOINTMENT LETTER
On behalf of Edelweiss Tokio Life Insurance Company Limited (“the Company”), we have pleasure in offering
you an appointment as Business Manager on the following terms and conditions:
I Date of Commencement
You are required to commence work with us on or before 15 Dec 2021 (‘Date of Joining’).
II. Location
You will be based in Mumbai_Kalyan West. However, based on business exigencies, you may be relocated by
the Company anywhere in India. You may be transferred to a different position or LOB/department as per the
requirements of the Company.
III. Services
The scope of your services are set out in Annexure 1 to this Letter of Appointment. You will be required to
work part-time not exceeding such number of days as may be specified by Company from time to time
IV. Remuneration and Benefits
a. The remuneration payable to you will be monthly, payable for four days of employment per month. You
will receive Remuneration and Benefits as set out in Annexure 2.
b. You will not be entitled to claim any other privileges/benefits which are available to the full time
employees except the remuneration stated above for your part-time employment.
c. The Company will deduct at source, Income Tax and any other statutory deductions, as per the applicable
tax laws.
d. The Company will also be entitled to deduct any sum as may be recoverable from you from time to time
as per Company’s policies.
e. The Company is entitled to modify, change or restructure such compensation, benefits from time to time
in accordance with change in Company Policy or applicable laws and regulations.

V. Performance Review
Your performance will be reviewed from time to time. You will be eligible to participate in the Company’s
discretionary Performance Linked Incentives as applicable subject to your being in the Company’s employment
and not under notice to leave the Company on the bonus payment date.
VI. Notice for Separation / Termination:
a. Either party, by stating their intention to do so, in writing may terminate this employment, at any time,
during the tenure of this contract, provided that at least 30 days’ notice or salary in lieu thereof is given.
b. Waiver of notice period days is completely at the discretion of the Company.
c. However, in the event of your being held guilty of misconduct, misrepresentation, fraud or negligence in
the discharge of your duties or in your conduct towards the Company’s business or such misdemeanor
which is likely to affect or affects the reputation of the Company’s working or breaches any of the terms
and conditions herein, or on your failure to achieve the performance standards expected from this role,
the Company reserves its right to terminate your services at any given point of time, with immediate
effect and without any compensation or notice.
VII. Return of Company’s Properties
Any of the Company’s properties in your possession whilst you are rendering services to the Company, shall be
returned to the Company on request or immediately upon cessation of your employment with the Company.
You agree and understand that the Company shall be entitled to recover from you any loss suffered by the
Company on account of misuse, wrongful withholding, and/or any damage occasioned to the Company’s
property. Till such time all the Company’s properties are returned or recovery of loss made, the Company can
initiate appropriate proceedings for recovery and be entitled to withhold any compensation or dues payable
you.
VIII. Professional Ethics
You will promote the interests of the Company and will not divulge to any person or utilize any of the
Company’s secrets or other related Information (which you may possess by reason of your association with the
Company) outside the Company.
IX. Confidentiality
a. It is a condition of your employment that you maintain the confidentiality of any and all proprietary
information of which you gain knowledge or possession as a result of your employment with the company.
You must not disclose such proprietary information to any person. The term proprietary information shall
mean all company information whether in oral, written, graphic, diskette, or machine readable form
including but not limited to all non-public lists of customer, agents, general agents, intermediaries, prices,
business plans, strategic plans or other non-public financial information, customer base, manual, designs,
procedures, formula’s, discoveries, inventions, improvements, concepts, idea’s, future plans and budgets
unannounced organizational staffing changes financial analysis, competitor analysis, management
information technical data and market studies whether marked as Confidential or no.
b. This obligation of confidentiality continues after your employment terminates.
c. The terms of this offer should be treated as privileged information between you and the Company.
Complete confidentiality of employment compensation details is expected to be maintained by you during
your period of employment with the company.

d. You shall at all times indemnify and keep the Company indemnified and harmless against and to the
extent of all sums whether by way of claims, demands for loss, damage, charges, expenses paid or
incurred by the Company in connection with any action claims, proceedings or demand instituted or made
against the Company caused by a breach, failure, default or neglect in the opinion of the Company, to
observe and comply fully with the terms and conditions of your employment with the Company herein
contained.
X. Company Policies, Procedures and Regulatory requirements:
You shall observe and comply with the Company’s rules, directions, policies, regulations, practices, processes
and procedures that are in force and applicable to you and all changes therein, from time to time.
XII. Restrictive Covenants
You agree that during the term of employment and for a period of one year after the termination of your
employment, you shall not in any way, directly or indirectly:
i. Induce or attempt to induce or cause other to solicit or induce any employee of the Company to
terminate his or her employment with the Company;
ii. Otherwise interfere with or disrupt Company’s relationship with its employees;
iii. Engage in any activity directly in competition of Company’s business
XIII. Misconduct:
Misconduct would amount to cause for your immediate dismissal by the Company without notice or payment
in lieu of notice or appropriate disciplinary action. Examples of Misconduct include but are not limited to:
a. Non Compliance with applicable laws and regulations in the conduct of business for and on behalf of the
Company.
b. Theft, misappropriation, misrepresentation and policies of the company or willful destruction of Company
property.
c. Refusal or failure to comply with a reasonable instruction given by your Reporting Authority.
d. Willful insubordination or disobedience of any lawful and reasonable order of a Reporting
Authority/superior.
e. Proven finding that you are guilty of a criminal offence by a court of competent jurisdiction.
f. Proven complaint of Sexual Harassment or intimidation of employees.
g. Behavior which is either physically or verbally threatening or degrading to others.
h. Violation of Code of Conduct and Business Ethics and policies of the Company which may be subject to
change from time to time.
In addition to the Company’s right of dismissal/termination of your employment, the Company also reserves
its right to recover from you, any and all amounts, losses, damages incurred by the Company on account of any
act, omission, negligence, Misconduct by you in breach of your employment terms and internal Policies of the
Company as are applicable to employees of the Company from time to time.

XIV. Conflict of Interest:
You must avoid all situations that present or appear to create conflict between your personal interests and the
interests of the Company. When dealing with current or prospective customers and suppliers you must never
receive or extend preferential treatment for personal gain.
XV. Entire Contract:
a. This contract supersedes any prior oral or written understanding regarding the terms and conditions of
your employment with the Company
b. Your employment will be governed at all times by the Policies, procedures, and rules of the Company.
c. The Company reserves the right to modify/change the Appointment Letter and the terms of your employment
from time to time.
d. Your appointment is subject to satisfactory confirmation of the information provided by you at the time
of employment. In case the same is/are not found to be in your favor at any point of tenure with us (pre &
post joining), the Company reserves the right to revoke your offer/ employment.
XVI. Mandatory Documents:
You are required to submit the following documents as may be applicable on the first day of joining the
Company:
a. Relieving Letters from previous employers / resignation letter accepted by previous employers
b. Education Certificates: Highest qualification, as applicable
c. Any other documents that may be mandated by the Company at the time of hiring
d. Your email address, residential address and contact numbers (landline and mobile) and keep the management
informed of any changes thereof.

ANNEXURE 1
SCOPE OF SERVICES
You will be expected to spend 4 days in a month towards fulfilling the desired targets on the following
deliverables :
a. Identify potential PFAs and assist in increasing the number of PFAs;
b. Mentor PFAs through constant engagement to improve their performance;
c. New & Renewal Business generation through team of engaged PFA’s
c. Handhold PFAs for enhancing their quality and efficiency in sales activity;
d. Create and conduct programs and impart training and skill learning to PFAs;
e. Control attrition rate of PFAs.

Kindly note :
a) Deductions will be made as per the statutory laws, as applicable
b) The amounts mentioned above are the maximum amounts payable considering 4 working days in a
month.
c) You will be governed at all times by all the policies, procedures & rules of the Company applicable to
employees including related to salary, allowances, benefits & perquisites which are specified in the
annexure. The company has authority to modify, change or restructure such allowances, benefits &
perquisites from time to time in accordance to the various changes in rules, regulations &
amendment made to applicable labour legislations & taxation laws.
